When a private-equity-backed portfolio company pursues an add-on acquisition, the financing conversation looks different from a standalone business raising debt on its own — the sponsor's backing changes both what a lender is willing to underwrite and how the facility typically gets structured.

What changes when a sponsor is behind the deal

A lender underwriting a sponsor-backed add-on is looking at more than the target's standalone financials: the platform company's existing performance and debt load, the sponsor's track record executing integrations, and often the sponsor's willingness to backstop the deal with additional equity if performance dips. That combination can support higher leverage and faster execution timelines than an independent company chasing the same acquisition would get on its own credit alone — but it also means a lender's underwriting extends into questions an independent borrower wouldn't face: how the target will integrate operationally, what happens to combined leverage post-close, and whether the platform's existing credit agreement even permits taking on more debt (most do, within negotiated baskets, but it has to be checked).

What actually gets underwritten

Beyond the add-on target's own numbers, expect a lender to look at combined pro forma leverage (existing platform debt plus new add-on debt, against combined EBITDA), integration risk and timeline, customer/revenue overlap or concentration between the platform and the target, and the sponsor's own equity commitment to the deal. A thin combined leverage cushion or a target with weak standalone cash flow is where sponsor support — and sometimes additional sponsor equity into the deal — starts to matter most.

Structuring add-on financing well before you're mid-LOI on the target usually produces better terms than shopping it under deal-close time pressure.
